1. Agreement and scope
These Terms of Service form an agreement between you and DueSimple, based in Montreal, Quebec, Canada, when you create an account, expressly accept these Terms, or use the authenticated DueSimple service. DueSimple is currently offered to adults located in Canada and the United States.
If you are in Quebec, the French version is provided first. You may choose to be bound by the English version only after receiving the French version and expressly selecting English during registration. If the versions differ, rights granted by applicable law remain unaffected.
2. Eligibility and your account
You must be at least 18 years old and legally capable of entering this agreement. Registration requires a verified email address and acceptance of the current Terms and Privacy Policy. You must provide accurate account information, protect your password and recovery methods, use MFA when appropriate, and notify support@duesimple.app promptly if you suspect unauthorized access.
One account is intended for one adult. Household collaboration is not available unless DueSimple explicitly introduces it under updated terms.
3. What DueSimple does
DueSimple organizes information you enter about income, obligations, spending allowances, debts, goals, dates, priorities, and planning rules. It produces deterministic projections, allocation explanations, shortage indicators, and remaining-money estimates.
DueSimple does not connect to bank accounts, monitor transactions, hold money, initiate or schedule payments, lend money, provide credit, perform currency conversion, or confirm that a payment or contribution actually occurred. A planned allocation is not a completed payment.
4. No professional advice or guarantee
DueSimple is an organizational planning tool. It does not provide financial, investment, credit, legal, accounting, or tax advice and is not a substitute for a qualified professional. Planning outputs depend entirely on information, estimates, dates, and rules supplied by you.
You are responsible for verifying balances, due dates, interest rates, payment instructions, available funds, contractual obligations, tax effects, and consequences with the relevant institution or adviser. Labels such as “funded,” “shortage,” “remaining,” and “safe to spend” are planning descriptions—not guarantees that funds are available or that an obligation will be paid on time.
5. Your information and instructions
You retain ownership of the information you enter. You authorize DueSimple and its service providers to host, process, reproduce, and transmit that information only as reasonably necessary to operate, secure, support, and improve the service as described in the Privacy Policy.
Do not enter bank passwords, payment-card or bank-account numbers, government identifiers, tax identifiers, authentication codes, or another person’s information unless you have the lawful authority and their appropriate consent.
6. Acceptable use
You may not use DueSimple to break the law, harm another person, impersonate someone, access another workspace, evade security or rate limits, probe vulnerabilities without authorization, distribute malware, overload the service, automate abusive traffic, or interfere with service operation. You may not reverse engineer protected service components except where applicable law expressly permits it.
DueSimple accepts an import only from a valid, signed, complete DueSimple JSON archive previously exported by DueSimple. Import reviews and restores are subject to file-size, validation, expiry, authentication, and rate limits. Categorized CSV is export-only and cannot be restored. DueSimple may reject malformed, altered, unsupported, or unsafe archives and neutralizes spreadsheet formulas in CSV exports.
7. DueSimple Core and future services
DueSimple Core is free and is not a temporary trial. No payment card is required for Core. Optional convenience or advanced capabilities may later be offered separately, including under DueSimple Plus. Any paid service will be presented with its price and additional terms before purchase; no current account authorizes a future charge.
8. Service changes and availability
DueSimple is evolving and may add, modify, suspend, or remove features. We will not intentionally remove the essential usefulness of Core merely to force an upgrade, but we do not promise that every feature or integration will remain available indefinitely.
We work to provide a reliable service but do not guarantee uninterrupted, error-free, or permanently available operation. Maintenance, provider outages, security events, legal obligations, and circumstances beyond reasonable control may affect availability.
9. Third-party services
DueSimple relies on service providers for hosting, authentication, storage, email, and privacy-filtered error monitoring. Those providers operate their own infrastructure and terms. DueSimple is responsible for selecting and configuring providers reasonably, but is not responsible for independent products or websites you choose to access through external links.
10. Intellectual property and feedback
DueSimple, its software, design, branding, documentation, and original content are owned by DueSimple or its licensors and are protected by applicable intellectual-property laws. These Terms give you a limited, personal, revocable, non-transferable right to use the service for lawful personal planning.
If you voluntarily provide ideas or feedback, you allow DueSimple to use them without restriction or compensation, provided we do not identify you publicly without permission.
11. Suspension, termination, and deletion
You may stop using DueSimple at any time and may schedule account deletion from the privacy settings. A seven-day cancellation window applies before active account and planning data are purged. Some data may remain temporarily in protected backups or where retention is required for security, fraud prevention, dispute handling, or law.
DueSimple may suspend or terminate access when reasonably necessary to protect users or the service, investigate abuse, comply with law, or address a material breach. Where appropriate, we will provide notice and an opportunity to contact support.
12. Disclaimers
To the fullest extent permitted by applicable law, the service is provided “as is” and “as available.” DueSimple disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant the accuracy of user-provided information, projections, recommendations, third-party services, or outcomes.
Nothing in these Terms limits warranties, remedies, or consumer rights that cannot lawfully be excluded, including rights under applicable Quebec, Canadian, provincial, territorial, state, or federal consumer-protection law.
13. Limitation of liability
To the fullest extent permitted by law, DueSimple will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, savings, data, goodwill, or opportunity; missed payments; fees; interest; credit effects; or decisions made from planning outputs.
Where liability may lawfully be limited, DueSimple’s aggregate liability arising from the service will not exceed the greater of CAD $100 or the amount you paid DueSimple during the 12 months before the event giving rise to the claim. This limitation does not apply to fraud, intentional or gross fault, bodily or moral injury, breach of mandatory privacy obligations, or any liability that applicable law does not permit us to limit.
14. Governing law and disputes
These Terms are governed by the laws of Quebec and the applicable federal laws of Canada, without regard to conflict-of-law rules. Courts located in the judicial district of Montreal, Quebec will have jurisdiction, except where mandatory consumer law gives you the right to bring a claim in another forum.
Before filing a claim, please contact support@duesimple.app so we can try to resolve the issue informally. This paragraph does not prevent either party from seeking urgent injunctive relief or using a small-claims or consumer-protection process where available.
15. Changes to these Terms
We may update these Terms to reflect product, legal, security, or operational changes. The page will show the effective date and version. Material changes affecting registered users will require notice and, when appropriate, renewed acceptance before continued authenticated use. Changes do not apply retroactively unless required by law or expressly agreed.
